Company: Telos Technologies LLC (“Telos,” “we,” “our,” or “us”)
These Terms of Service (“Terms”) govern your use of the services provided by Telos Technologies LLC, including (i) access to and use of Telos Automations and (ii) access to and use of Telos Integrations and (iii) access to and use of Telos Applications (collectively, the “Services”). By using any of our Services, you (“Customer,” “you,” or “your”) agree to these Terms.
If you do not agree, you may not access or use our Services.
1. Eligibility
You must be at least 18 years old and capable of entering into legally binding agreements to use our Services.
2. Services Overview
2.1 Telos Automations
Telos Automations is a subscription-based software-as-a-service (SaaS) platform that enables customers to automate workflows, data synchronization, and business processes.
2.2 Telos Integrations
Telos Integrations is a subscription-based software-as-a-service (SaaS) platform that enables customers to manage, operate, and extend custom software integrations between internal systems and third-party platforms.
2.3 Telos Applications
Telos Applications is a subscription-based consulting service that allows us to build, manage, operate, and extend custom software applications.
3. Account Registration and Access
You must provide accurate information during registration.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity under your account.
4. Fees and Payment
4.1 Subscription Fees
Telos Automations, Telos Integrations, and Telos Applications are all subscription-based Services.
Fees, billing frequency, and payment methods will be outlined at sign-up or in your subscription agreement.
Subscription fees are non-refundable except where required by law.
4.2 Changes in Fees
Telos reserves the right to modify subscription fees upon reasonable advance notice (typically 30 days). Continued use after fee changes constitutes acceptance of the new pricing.
5. Customer Responsibilities
You agree to:
Provide accurate and timely information necessary for Telos to deliver the Services.
Obtain and maintain any third-party accounts, licenses, or approvals required for integrations or automations.
Use the Services in compliance with all applicable laws and regulations.
6. Intellectual Property
6.1 Ownership
Telos retains all ownership rights in Telos Automations, Telos Integrations, and Telos Applications, including all software, code, tools, frameworks, and related intellectual property.
6.2 License
You are granted a limited, non-exclusive, non-transferable license to use the Services during your active subscription.
You may not copy, modify, reverse engineer, or redistribute the Services without written consent from Telos.
7. Confidentiality
Each party agrees to maintain the confidentiality of the other party’s non-public information and use it only as necessary to perform the Services.
8. Data and Privacy
Telos may process data on your behalf in providing the Services.
Our collection and use of personal data are described in our Privacy Policy.
You are responsible for ensuring your use of the Services complies with applicable data protection laws.
9. Service Levels and Support
Telos will make reasonable efforts to ensure uptime and availability of Telos Automations, Telos Integrations, and Telos Applications, subject to routine maintenance and circumstances beyond our control. Support channels and response times will be defined in your subscription plan.
10. Term and Termination
Subscriptions continue for the term selected (monthly, annual, or otherwise) and automatically renew unless canceled in accordance with your subscription agreement.
Either party may terminate with written notice if the other party materially breaches and fails to cure within 30 days.
Telos may suspend or terminate Services immediately for violations of these Terms or illegal use.
Upon termination, all rights to access the Services end, and outstanding payment obligations remain due.
11. Disclaimer of Warranties
The Services are provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, Telos is not liable for any indirect, incidental, consequential, or punitive damages. Our total liability under these Terms will not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold Telos harmless from claims, damages, and expenses arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.
14. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
15. Changes to Terms
Telos may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
